SSFEEDS TERMS AND CONDITIONS
In order to lease Video Feeds from SSfeeds.com, you (hereinafter "Client") agree to be bound by the following Terms and Conditions. Your application cannot be processed unless you indicate your acceptance of these Terms and Conditions where indicated on the Sign Up form.
Subject to the terms and conditions set forth herein, SSfeeds.com grants to Client a limited, non-exclusive and non-transferable license to use graphic files, video files, hyperlinks associated with the Video Feeds during the time in which you are an active Client.
Client understands and acknowledges that the Video Feeds are to be placed in the Membership and/or Subscription area of Client's Site. Client may not make the services available to any "free" areas of the Site. In addition, Client shall not permit any other sites to link to the Video Feeds.
Upon entering into this Agreement, the Client understands and acknowledges that the Video Feeds being offered are sexually explicit materials intended for consenting adults in locations where the materials do not violate any community standards or any federal, state, or local laws or regulations. Access to SSfeeds.com Video Feeds is restricted to adults over the age of 18 who have subscribed and paid for a subscription membership. Access to minors is strictly prohibited.
1. In order to lease Video Feeds from SSfeeds.com, Clients must: Have a subscription based adult web site, which requires a credit card for age verification and a user name and password for consumers to become subscribers and enter the site. No free membership areas are allowed.
2. Provide SSfeeds.com with a valid user name and password for Client's subscription site permitting SSfeeds.com access to inspect our links as long as they appear on Client's Site.
All models and performers are 18 years of age or older. The records required by Section 2257 of Title 18, United States Code, with respect to these Video Feeds are kept by the custodian of records, Silver Sinema Inc. RNash 3880 Lemon St. Suite 205 Riverside, California 92501 USA
Client shall indemnify, hold harmless and defend SSfeeds.com, its officers, directors, employees, agents, representatives, and attorneys with counsel reasonably acceptable to SSfeeds.com from and against any and all claims, demands, obligations, causes of action, damages, or any other liabilities of any nature (whether or not meritorious or not), including reasonable attorneys' fees, arising out of or incurred in connection with the breach of Clients obligations hereunder or by any person or persons whose claim arising by, through or on behalf of the Client and against any claims arising from or in connection with any other materials Client places on the site.
1. All Video Feeds provided by SSfeeds.com are protected by federal copyright and may not be copied, redistributed, or downloaded, in whole or in part, without written prior consent of SSfeeds.com. SSfeeds.com is a trademark of Silver Sinema Inc..
2. Under no circumstances and under no cause of action or legal theory shall SSfeeds.com, its officers, directors, employees, agents or assigns, be liable to you or any other person for any indirect, special, incidental, or consequential damages of any kind, including, without limitation, damages for loss of goodwill, computer failure or down-time, or any other commercial damages resulting from any use of our Video Feeds.
1. This Agreement shall be governed by, and construed only in accordance with, State or Federal Courts located in Riverside County, California.
2. The venue for any other legal proceedings arising from or connected with this Agreement shall be exclusively in Riverside County, California, and no Party shall have the right to challenge venue based upon forum non conveniens or otherwise. In any legal proceeding (including arbitration) arising from, under or in connection with this Agreement, the prevailing Party shall recover the reasonable attorneys' fees and costs incurred in preparation for and in connection with all arbitration, trial and appellate proceedings, along with such other award(s) rendered by the arbiter.
1. Client warrants and represents that it owns or operates a lawful, and otherwise valid Internet Web site; Client is an adult at least eighteen years of age and has the requisite power and authority to enter into this Agreement and perform the obligations set forth herein; Client's performance as set forth in this Agreement does not and will not constitute a breach of any existing contract or obligation undertaken by Client; there are no outstanding orders, judgments, decrees, rules or regulations which would preclude Client from entering into this Agreement.
2. SSfeeds.com warrants and represents that it owns, controls, or otherwise has the rights to the Video Feeds described herein and has the requisite power and authority to enter into this Agreement and perform the obligations set forth.
SSfeeds.com reserves the right to terminate Client accounts at any time. Notice of termination will be delivered by e-mail to the Client.
